This auction is a simulcast auction. The catalog is featured for online bidders to pre-bid before the live auction. Bids placed and Bidder Information is exported to our simulcast provider the day before the auction is set to end. Bids will be the starting bid platform for the live auction. Online Bidders can continue their bidding by participating via a Webcast link provided on our website. Just utilize your username and password to bid further via the simulcast auction link. Or join us live at the auction to continue your bidding.

Registration: In order to better serve our customers, all bidders must provide their name, address, daytime phone number, and email address at which they can be contacted. This is to insure good communication between Taylor Auction & Realty, Inc. and the bidder throughout any transactions. Taylor Auction & Realty, Inc. reserves the right to refuse bidding privileges to any person(s). In order to have enough time to conduct authorizations, registration must be completed at least 24 hours in advance of the auction and if it is a multiple day event, 24 hours prior to the first day of the auction. If the day before an auction falls on a holiday or weekend, the deadline is the day before the holiday or the Friday prior to the auction.

CONDUCT OF THE AUCTION: Conduct of the auction and increments of bidding are at the direction and discretion of Taylor Auction & Realty, Inc. No bid shall be deemed a valid bid until accepted by the Auctioneer. Taylor Auction & Realty, Inc. reserve the right to reject any and all bids for any reason and also reserve the right to cancel this auction, or remove any item or lot from this auction prior to the close of bidding. All decisions of Taylor Auction & Realty, Inc. are final.

If you are the successful bidder, you agree to pay the amount of your bid plus all taxes and premiums in accordance with all written or oral terms and conditions of the auction. Winning high bidders will be notified by email when all items in the auction have closed. Bidders are responsible for checking their email to receive notification that they have won a lot(s). By placing a bid, you agree to all of the terms and conditions which may be set forth by each individual auction company and expressly acknowledge and affirm that you have read and are familiar with the terms and conditions of each individual auction company. The auctioneer shall be the final judge in all bidding disputes and shall name a bidder as the purchaser. The auction company shall not be held responsible for any 'missed' bids or bids unseen by the auctioneer. By bidding on any item, the bidder shows acceptance of the terms of the auction.

MAX BIDS Information:

Internet bidders who desire to make certain their bids are acknowledged should use the internet bidding feature and leave their maximum bid. When you bid your max, the current bid price doesn`t automatically go to your max bid. Someone else has to bid to increase the current price and the computer will automatically bid up to your max in the increments specified.

Taylor Auction & Realty, Inc. have put forth every effort in preparing the catalog for this auction to provide accurate descriptions of all items. ALL PROPERTY IS SOLD ’AS-IS’ and ALL SALES ARE FINAL. The property is open to thorough public inspection. Due Diligence is the responsibility of the bidder. It is the Bidder’s responsibility to determine the nature, condition, age, genuineness, value, state of title or any other decisive factor for each item purchased. Taylor Auction & Realty, Inc. may attempt to describe the merchandise in advertising, on the internet and at the auction but makes no representations. Printed statements or descriptions by staff are provided in good faith and are matters of opinion. In no event shall Taylor Auction & Realty, Inc. be held responsible for having made or implied any warranty of merchantability or fitness for a particular purpose. Taylor Auction & Realty, Inc. will not be responsible for any errors or omissions in the description of the merchandise. The bidder shall be the sole judge of value. Bidders who bid from off-site understand and acknowledge that they may not be able to inspect an item as well as if they examined it in person. The bidder agrees that everything is sold as is and that they may not return any item they purchase.

Payments: Please bring a bank letter of guarantee for expected purchases over $10,000 if unknown to our firm. All accounts must be settled at the conclusion of the auction. We request Payment made in full day of auction/removal. We prefer CASH, CHECK, CERTIFIED CHECK OR WIRE TRANSFER. We will not be accepting credit cards in regard to this auction. Bidders will be charged a 10% Buyers Fee and the appropriate sales tax is applicable.

Further Payment Instruction: Electronic bank transfers for final payment of purchases must originate from an account of the registered buyer or the business the buyer represents. The transfer must include the bidder number and the invoice number.

Taylor Auction & Realty, Inc. are providing online bidding as a service to Bidder. Bidder acknowledges and understands that this service may or may not function correctly the day of the auction. Under no circumstances shall Bidder have any kind of claim against Taylor Auction & Realty, Inc. or anyone else if the internet service fails to work correctly. NEITHER THE COMPANY PROVIDING THE SOFTWARE NOR THE AUCTION COMPANY SHALL BE HELD RESPONSIBLE FOR A MISSED BID OR THE FAILURE OF THE SOFTWARE TO FUNCTION PROPERLY FOR ANY REASON.

TECHNICAL ISSUES: In the event there are technical difficulties related to the server, software, internet or any other online auction-related technologies, Taylor Auction & Realty, Inc. reserves the right to extend bidding, continue the bidding, or close the bidding.

DEFAULT OF BUYER: Successful bidder not paying for items at the end of the auction will be considered in default. Such default by the Successful Bidder will result in that Bidder’s liability to both the Seller and auction company. Seller shall have the right to (a) declare this contractual agreement cancelled and recover full damage for its breach, (b) to elect to affirm this contractual agreement and enforce its specific performance or (c) Seller can resell the items either publicly or privately with Taylor Auction & Realty, Inc. and in such an event, the Buyer shall be liable for payment of any deficiency realized from the second sale plus all costs, including, but not limited to the holding/transporting/storage costs of the items, the expenses of both sales, legal and incidental damages of both the Seller and Taylor Auction & Realty, Inc. In addition, Taylor Auction & Realty, Inc. also reserves the right to recover any damages separately from the breach of the Buyer. The successful purchaser agrees to pay any and all reasonable attorney’s fees and costs incurred by the Auction Company, the seller and/or their servants, agents or employees in the commencement or defense of any actions here-under as well as in the collection of any obligations here-under. The purchaser agrees that a fee of 2% per month be added to the balance of any unpaid balance due the Auction Company and any other costs or losses incurred by the purchaser’s failure to adhere to these terms.

Removal: Purchases may be removed upon receipt of payment in full. Buyers assume complete responsibility for the care of each purchase at time of sale. Any item left is at the buyer’s risk. The seller or auction company assumes no risk. The auction company is not responsible for accidents, thefts, errors or omissions.

After January 8, 2016: If you are unable to remove your items until later, please call us at 662.226.2080. If we concur, you are not intending to remove the items in a timely manner and/or bring payment; your credit card will be charged the amount due. In addition, a storage fee of $20.00 a day will be charged to your credit card. If buyer does not pick up items or make payments up to date on merchandise, the buyer will be flagged for all MarkNet auctions. This includes all auction companies that are a part of the www.MarknetAlliance This means, you will not be able to bid on any online auction of the forty-five auction companies associated with MarkNetAlliance.

Sales Tax Statement: Sales Tax is Applicable based on item and status of the individual. No sales tax will be assessed on any titled vehicle. Tax on titled vehicles will be paid in the county where you title the vehicle in your name. 7% sales tax will be charged in regard to all other items. If you are an out of state bidder and are the successful purchaser; please complete a certificate of interstate sales and bring at pickup. This form is required by the Mississippi State Tax Commission for out- of- state buyers in regard to exemption of Mississippi Sales Tax.

SOLE AND EXCLUSIVE VENUE & JURISDICTION OF ALL DISPUTES: Any and all claims, including debt collection and all other disputes of any kind, nature, or character whatsoever arising from this auction sale shall be brought in the appropriate court of Grenada County, Mississippi, and shall be governed by the laws of the State of Mississippi; Seller, Bidder and Buyer each individually and collectively by virtue of participating in the Auction conducted by Taylor Auction and Realty, Inc. do hereby irrevocably agree to submit themselves and any claims to the jurisdiction and venue of the courts of Grenada County, Mississippi, and the laws of the State of Mississippi, which shall be the sole venue and jurisdiction for the resolution of any claims between them and Taylor Auction and Realty, Inc. regardless of the nature or location of the property sold/purchased or the physical location of the Auction.

Hold Harmless:

Buyer and or bidder agrees that Taylor Auction and Realty, Inc. is a representative of the Seller and agrees to hold harmless and indemnify Taylor Auction & Realty, Inc. and its Agents, Owner, Directors, Employees and its Representatives from any and all claims, demands, expenses, damages which bidder/buyer may claim on account of or any way growing out of said auction and to look solely to the Seller for any remedy demanded.

Bidder Acknowledgment: Bidder acknowledges that no relationship of any nature or type, agent, employee, independent contractor or otherwise is created between bidder and auctioneer, affiliated auction companies, affiliated software companies and/or any servant, agent or employee of the same by

bidder’s participation in this auction. Bidder acknowledges and agrees that Auctioneer is acting solely as the agent for the seller in this auction.

Bidder Responsibilities: Bidder responsibilities include, but are not limited to: Bidders agree to keep their username and password confidential, as they are responsible for ANY and ALL activity involving their account. When using the web site you must obey any and all local, state and federal laws. Violations will result in termination of web site use privileges. Auction company employees and/or

auction company may bid on auction for absentee bidders or at the direction of interested bidders.

Guaranty Agreement in regard to bidding for a business entity: By submitting a bid in the name of a business entity or corporation, the individual submitting the bid enters into a guaranty agreement whereby he or she personally guarantees payment to Taylor Auction & Realty, Inc. and completion of the transaction.

By placing a bid, you acknowledge that your bid is a legally binding offer to purchase the item for property being auctioned. Time shall be of the essence.

Your bid on this auction indicates both an understanding and an acceptance of the terms of this contractual agreement between yourself and both Taylor Auction & Realty, Inc. and the Seller(s) and that you, as the Bidder, are prepared to purchase items under these terms and conditions.
